Terms of Service

Welcome to Federation Sports. These Terms of Service (“Terms”) govern your access to and use of Federation Sports, our website located at https://www.federationsports.io, and any related applications, dashboards, features, content, memberships, prospect tools, voting features, points systems, communications, and services we provide collectively referred to as the “Service.”

By accessing or using the Service, creating an account, submitting information, purchasing a membership, participating in platform features, or viewing content on the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you should not use the Service.

Federation Sports is a sports technology, media, and fan engagement platform designed to connect athletes, prospects, members, fans, front office staff, team personnel, and sports communities.

The Service may include, but is not limited to:

• Prospect registration and profile creation
• Athlete profile review and approval features
• Public prospect profiles
• Highlight video and media link submissions
• Member dashboards and fan engagement tools
• Voting, polling, prediction, points, leaderboard, and participation features
• Sports-related content, media, updates, rankings, and community experiences
• Front office, team staff, and administrative tools
• Membership-based access to certain platform features
• AI-assisted athlete development tools, training insights, or performance-related features

Federation Sports is not a marketplace for buying or selling goods between users. Federation Sports does not guarantee that any prospect, athlete, member, or user will receive a roster spot, contract, scholarship, employment opportunity, endorsement, compensation, or professional sports opportunity.

The Service is intended only for users who are 18 years of age or older.

By accessing or using the Service, creating an account, submitting a prospect profile, purchasing a membership, uploading content, or participating in any platform feature, you represent and warrant that you are at least 18 years old.

If we discover or reasonably believe that a user is under 18, we may suspend or terminate the account, remove submitted content, and restrict access to the Service.

To access certain features of the Service, you may be required to create an account. You agree to:

• Provide accurate, complete, and current information
• Keep your login credentials confidential
• Be responsible for all activity that occurs under your account
• Promptly notify us of any unauthorized access or security issue
• Use the Service only for lawful and authorized purposes

Federation Sports may offer different account types, including but not limited to members, prospects, athletes, front office staff, team staff, administrators, or other roles. Access to certain features may depend on your assigned role, account status, membership level, or approval status.

We reserve the right to suspend, restrict, or terminate any account that violates these Terms, provides false information, abuses the platform, misuses platform features, or creates legal, operational, security, or reputational risk for Federation Sports.

Prospects may be allowed to submit information, including but not limited to name, position, sports background, measurements, experience, statistics, biography, location, social links, highlight links, images, videos, and other profile details.

By submitting prospect information or media to Federation Sports, you represent and warrant that:

• The information you provide is accurate and not misleading
• You have the right to submit the content
• Your submitted links, images, videos, and materials do not violate the rights of any third party
• You understand that approved profile information may be visible publicly on the Service
• Federation Sports may review, approve, reject, remove, edit, moderate, or restrict submitted content

Federation Sports is not required to approve any profile, highlight link, or submitted content. Approval of a profile or content does not guarantee selection, recruitment, ranking improvement, employment, compensation, roster placement, or any sports opportunity.

You retain ownership of content you submit to the Service. However, by submitting, uploading, posting, linking, or providing content to Federation Sports, you grant Federation Sports a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, host, display, reproduce, distribute, modify, publish, promote, and share your content in connection with operating, improving, marketing, and promoting the Service.

This may include displaying approved prospect profiles, sharing highlight links, featuring athletes in platform content, promoting Federation Sports, and operating member-facing or public-facing features.

You are solely responsible for the content you submit.

Certain features of the Service may require payment, membership, subscription, or other fees. If you purchase a membership, subscription, product, or service through Federation Sports, you agree to pay all applicable fees and taxes.

Unless otherwise stated:

• Fees are listed in U.S. dollars
• Subscription fees may be billed in advance on a recurring basis
• Your subscription may automatically renew unless canceled
• You are responsible for canceling before the next billing period
• Partial-period refunds are not guaranteed
• Fees may change in the future
• Access to paid features may be suspended if payment fails

Federation Sports may use third-party payment processors to process payments. We do not store full payment card details on our servers.

Federation Sports may offer fan participation features, including voting, polls, predictions, rankings, points, leaderboards, digital badges, engagement scores, or similar features.

These features are designed for entertainment, community engagement, platform participation, and sports interaction.

Unless expressly stated otherwise in writing by Federation Sports:

• Points have no cash value
• Points are not currency
• Points are not securities
• Points are not ownership interests
• Points cannot be redeemed for cash
• Points do not represent equity, profit rights, revenue rights, dividends, or financial returns
• Voting features are non-binding and do not give users control over Federation Sports, teams, athletes, staff, business operations, finances, contracts, salaries, hiring decisions, firing decisions, legal decisions, or league governance

Federation Sports may modify, reset, remove, suspend, or discontinue points, leaderboards, voting mechanics, rankings, or engagement features at any time.

Federation Sports memberships, accounts, points, votes, badges, rankings, participation features, and platform access do not provide ownership in Federation Sports, any team, league, athlete, project, or business entity.

Nothing on the Service should be interpreted as:

• An offer to sell securities
• An investment opportunity
• A promise of profit
• A revenue-sharing arrangement
• Equity ownership
• Team ownership
• A financial return
• Legal, financial, tax, or investment advice

Users participate in Federation Sports for access, engagement, community, entertainment, sports experiences, and platform features only.

Federation Sports may provide AI-assisted tools, athlete development features, training recommendations, forecasts, rankings, insights, or performance-related analysis.

These features are informational and developmental only. They are not medical advice, professional training certification, scouting guarantees, employment guarantees, or promises of athletic success.

You are responsible for using your own judgment and consulting appropriate professionals before participating in training, fitness, sports, or physical activity. Federation Sports is not responsible for injuries, losses, or damages resulting from training decisions, athletic participation, or reliance on AI-generated or platform-generated recommendations.

You may not use the Service to:

• Violate any law or regulation
• Submit false, misleading, or fraudulent information
• Impersonate another person or misrepresent your identity
• Upload or share content you do not have the right to use
• Harass, threaten, abuse, exploit, or harm others
• Post defamatory, obscene, hateful, discriminatory, violent, or otherwise objectionable content
• Attempt to manipulate votes, points, rankings, leaderboards, or platform systems
• Use bots, scrapers, crawlers, automation, or data-mining tools without permission
• Attempt to gain unauthorized access to accounts, systems, databases, or networks
• Interfere with the security, operation, or performance of the Service
• Use the Service for unauthorized commercial solicitation
• Infringe the intellectual property, privacy, publicity, or other rights of Federation Sports or any third party

We may suspend or terminate access for violations of this section.

The Service may contain links to or integrations with third-party websites, platforms, tools, payment processors, video platforms, analytics providers, social media platforms, wallet providers, or other services.

Federation Sports does not own or control these third-party services and is not responsible for their content, policies, practices, availability, security, or accuracy.

Your use of third-party services may be governed by their own terms and privacy policies.

The Service, including its design, branding, logos, names, graphics, text, software, dashboards, features, workflows, content, media, and other materials, is owned by Federation Sports or its licensors and is protected by copyright, trademark, and other laws.

You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, sell, license, or exploit any part of the Service without prior written permission from Federation Sports, except as allowed by these Terms.

The name “Federation Sports,” related logos, marks, slogans, and branding may not be used without our prior written consent.

By creating an account or using the Service, you consent to receive electronic communications from Federation Sports. These communications may include account notices, legal notices, policy updates, service announcements, membership updates, transaction confirmations, security alerts, and other communications related to the Service.

You agree that electronic communications satisfy any legal requirement that such communications be in writing.

We may suspend, restrict, or terminate your account or access to the Service at any time, with or without notice, if we believe you have violated these Terms, created risk for Federation Sports or other users, submitted false information, misused platform features, or engaged in conduct that we determine is harmful to the Service.

You may stop using the Service at any time. Certain provisions of these Terms will continue to apply after termination, including intellectual property rights, disclaimers, limitation of liability, indemnification, dispute resolution, and any payment obligations incurred before termination.

The Service is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, Federation Sports disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, and uninterrupted operation.

We do not guarantee that:

• The Service will be uninterrupted, secure, or error-free
• Defects will be corrected
• The Service will be free of viruses or harmful components
• Any user will receive athletic opportunities, employment, contracts, compensation, recruitment, exposure, rankings, or results
• Any voting, points, ranking, AI, prospect, or member feature will remain available permanently

To the fullest extent permitted by law, Federation Sports and its owners, directors, officers, employees, contractors, affiliates, partners, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, goodwill, opportunities, reputation, or other intangible losses arising from or related to your use of the Service.

This includes damages related to account access, platform availability, user content, public profiles, third-party services, payments, rankings, voting features, AI-generated insights, prospect submissions, or athletic participation.

You agree to defend, indemnify, and hold harmless Federation Sports and its owners, directors, officers, employees, contractors, affiliates, partners, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorney’s fees, arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your submitted content
• Your violation of any law or regulation
• Your violation of any third-party rights
• Your misuse of platform features, accounts, votes, points, rankings, or content

Before filing any formal claim, you agree to first contact Federation Sports at privacy@federationsports.io and attempt to resolve the dispute informally.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be governed by the laws of the State of New York, without regard to conflict of law principles.

Unless otherwise required by law, any legal action or proceeding shall be brought exclusively in the state or federal courts located in New York, and you consent to the personal jurisdiction of those courts.

These Terms shall be governed by and interpreted in accordance with the laws of the State of New York and applicable federal laws of the United States, without regard to conflict of law rules.

We may modify or update these Terms at any time. If we make material changes, we may notify users by posting the updated Terms on the Service, updating the “Last Updated” date, sending an email, or providing notice through the platform.

Your continued use of the Service after updated Terms are posted means you accept the revised Terms.

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.

These Terms, together with our Privacy Policy and any additional terms or policies referenced by Federation Sports, constitute the entire agreement between you and Federation Sports regarding your use of the Service and supersede all prior or contemporaneous agreements, communications, and understandings.

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. Federation Sports may assign, transfer, or delegate these Terms or its rights and obligations at any time without notice.

Any provisions that by their nature should survive termination shall survive, including provisions related to intellectual property, user content licenses, payment obligations, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, and account termination.
